The mechanism
The Digital Dutch Auction
Investors act as price makers rather than price takers. Bids compete in a single book, and the clearing price is set by that book rather than negotiated bilaterally.
The book fills from the lowest rate upward until the issue is covered. The last accepted rate becomes the clearing rate, bids above it are not filled, and every fill prices at the clearing rate.
Auction opens
Published terms, a defined window, disclosed to every participant at once.
Bids compete
Participants submit and revise into one book rather than a bilateral call.
The book clears
The price is what the bids establish, not what the process assumes.
Results published
Fills and the audit trail go back to participants with the record intact.
